General Terms & Conditions

for the Provision of Services by Christina Blake, Hansegartenstraße 23, 78464 Konstanz, Germany, Email: kontakt@christinablake.de (hereinafter referred to as the “Contractor”) to its clients (hereinafter referred to as the “Client”)

This English version is provided for information purposes only. In the event of any discrepancy or inconsistency between the English and German versions, the German version shall prevail.

1. General

1.1

These General Terms and Conditions (“GTC”) for the provision of services shall apply to all contracts concluded between the Client and the Contractor incorporating these GTC.

1.2

Where additional contractual documents or other terms and conditions in text or written form become part of the contract in addition to these GTC, the provisions of such additional contractual documents shall prevail over these GTC in the event of any conflict.

1.3

Any terms and conditions of the Client that deviate from these GTC shall not be recognised by the Contractor unless expressly agreed otherwise in writing.

2. Subject Matter and Scope of Services

2.1

The Contractor, acting as an independent service provider, shall provide the following services to the Client:

2.2

The specific scope of services shall be governed by the individual agreement concluded between the Contractor and the Client.

2.3

The Contractor shall perform the contractual services with the utmost care and diligence, in accordance with current professional standards, best practices, and available knowledge.

2.4

The Contractor shall be responsible for providing the services owed under the contract. In performing the services, however, the Contractor shall not be subject to instructions regarding the manner, location, or timing of performance. The Contractor shall independently determine working days and working hours in a manner that ensures the most effective and efficient performance of the services and achievement of the contractual objectives. The Contractor’s services shall be provided solely in consultation and coordination with the Client.

3. Client Cooperation Obligations

The Client shall provide all information, data, and other content required for the performance of the services completely and accurately. The Contractor shall not be responsible for any delays in performance resulting from delayed or incomplete cooperation or information provided by the Client. The provisions set out under “Liability / Indemnification” shall remain unaffected.

4. Fees and Payment

4.1

Fees shall be agreed individually between the parties.

4.2

Payment shall be due upon completion of the services. Where remuneration is calculated on the basis of specific time periods, payment shall become due at the end of each such period. In the case of time and effort-based billing, the Contractor shall be entitled, unless otherwise agreed, to invoice services rendered on a monthly basis.

4.3

Following performance of the services, the Contractor shall issue an invoice to the Client by post or electronically (e.g. as a PDF document). Payment shall be due within fourteen (14) days of receipt of the invoice.

5. Liability / Indemnification

5.1

The Contractor shall be liable without limitation on any legal grounds in cases of wilful misconduct or gross negligence, in the event of intentional or negligent injury to life, body, or health, on the basis of an express guarantee unless otherwise agreed, or where liability is mandatory under applicable law.

If the Contractor negligently breaches a material contractual obligation, liability shall be limited to the foreseeable damage typical for the contract, unless unlimited liability applies pursuant to the preceding paragraph. Material contractual obligations are obligations whose fulfilment is essential for the proper performance of the contract and on whose compliance the Client may regularly rely.

Any further liability of the Contractor is excluded.

The above limitations of liability shall also apply to the Contractor’s employees, agents, legal representatives, and other persons engaged in the performance of the contract.

5.2

The Client shall indemnify and hold harmless the Contractor against any claims asserted by third parties arising from the Client’s violation of these contractual provisions or applicable law.

6. Term and Termination

6.1

The duration of the contract and any notice periods for ordinary termination shall be agreed individually between the parties.

6.2

The right of either party to terminate the contract without notice for good cause shall remain unaffected.

6.3

Upon termination of the contract, the Contractor shall, at the Client’s discretion, promptly return or destroy all documents and other materials provided by the Client. Any right of retention is excluded.

Electronic data shall be permanently deleted. Documents and data that are subject to statutory retention obligations shall be exempt from deletion only until the relevant retention period has expired.

Upon request, the Contractor shall provide written confirmation of such deletion.

7. Confidentiality and Data Protection

7.1

The Contractor shall treat as strictly confidential all information and matters becoming known in connection with the assignment.

The Contractor shall impose corresponding confidentiality obligations on all employees and third parties who may have access to information relating to the contractual services.

This confidentiality obligation shall survive the termination of the contract and remain in force indefinitely.

7.2

The Contractor undertakes to comply with all applicable data protection laws and regulations in the performance of the contract, including in particular the provisions of the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).

8. Final Provisions

8.1

The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

8.2

Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

8.3

The Client shall support the Contractor in the performance of the contractual services through reasonable cooperation where necessary.

In particular, the Client shall provide all information and data required for the proper execution of the assignment.

8.4

If the Client is a merchant, a legal entity under public law, a special fund under public law, or has no general place of jurisdiction in Germany, the registered office of the Contractor shall be the exclusive place of jurisdiction for all disputes arising from the contractual relationship, unless mandatory statutory provisions provide otherwise.

8.5

The Contractor reserves the right to amend these GTC for objectively justified reasons, including changes in legislation, case law, market conditions, business requirements, or corporate strategy, provided that reasonable notice is given.

Existing clients shall be informed by email at least two weeks prior to the effective date of any amendment.

Unless the client objects within the period specified in the notification, the amendment shall be deemed accepted.

If the client objects, the amendment shall not take effect. In such case, the Contractor shall be entitled to terminate the contract with extraordinary effect as of the date on which the amendment would otherwise have become effective.

The notification of the amendment shall expressly inform the client of the objection period and the consequences of objecting or failing to object.

9. Information on Online Dispute Resolution / Consumer Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform at:

The platform serves as a point of contact for the out-of-court resolution of disputes arising from online sales or service contracts involving consumers.

The Contractor is neither willing norobliged to participate in dispute resolution proceedings before a consumerarbitration board pursuant to the German Consumer Dispute Resolution Act(VSBG).
